Constellation Energy Corp (NYSE: CEG)

Constellation Energy is an American energy company with its HQ in Baltimore, Maryland. Its primary business is energy production with auxiliary services in energy management. Founded in 1999, it has been subject to multiple merger & acquisition attempts, importantly a joint venture with UniStar Nuclear to market a European Pressurized Reactor to the United States Market. In 2005, FPL Group, Inc attempted to acquire CEG in a merger which was later cancelled in October 2006. Later in 2011, Exelon—a publicly regulated utilities company—expressed interest in acquiring CEG. This backwards integration was completed in 2012. However, in 2022, Exelon split its utilities and power generation business. The Exelon Power Generation business became what Constellation Energy is today.

There is a key distinction to be made between utilities and power generation. In the United States, the utilities market and distribution of the power generated by companies such as Constellation Energy are sold to wholesale markets such as (e.g. PJM, NYISO), which are competitive markets with prices of energy set by demand/supply. However, what remains of Exelon today is a distribution company; it purchases electricity from competitive markets such as PJM or NYISO, but it is unable to charge competitive prices to its customers. These prices are set by the government and are heavily regulated. In deregulated states such as the Texas ERCOT market, Constellation Energy acts as a retail supplier. It contracts consumers while also producing electricity to meet these needs, while distribution is conducted by the power lines and local utility companies.

The United States operate on a by-state basis, where some regions have regulated power markets. In contrast, others are deregulated—meaning consumers are allowed to choose their energy supplier. Roughly two-thirds (⅔) of the United States Energy market is unregulated, notably PJM (East Coast), where Constellation supplies a majority of its energy. In regulated markets, utility companies are fully integrated and oftentimes function as monopolies in their local power markets. They control production, transmission and distribution; hence, they are regulated to obviate obscenely high monopoly prices for electricity. These account for about one-third (⅓) of the United States and function primarily in the Mountain West & Northwest regions.

In its simplest form, Constellation Energy produces over 32,400 MW of energy and sells it on private RTO/ISO markets. Its primary form of power generation is Nuclear Energy, producing around 21,600 MW out of its entire portfolio. As a result of its massive nuclear portfolio, CEG is the largest producer of carbon-free electricity and provides ~10% of the nation's clean energy.
